This is a translation; the German version is binding.
These terms of use apply to the use of TravelPilot at pilot.intertours.travel, including the associated browser extension. The provider is Intertours Reisen & Events GmbH, Hanauer Landstraße 172, 60314 Frankfurt am Main, Germany (“Intertours”; further details in the legal notice). The contracting party is the company for which the registering person creates a company account (“Customer”).
1. Subject matter and target group
1.1 TravelPilot is a web application with a browser extension for managed Chrome and Edge browsers. The Customer defines rules for booking websites. If employees open a booking website outside the intended booking channel, the extension shows – depending on the rule – a notice, a button to the company portal or, in the Enterprise plan, a block. The effect is evaluated in aggregated form and without reference to individuals.
1.2 TravelPilot is intended exclusively for companies and for persons acting in the exercise of their commercial or independent professional activity (entrepreneurs within the meaning of Section 14 of the German Civil Code, BGB).
1.3 Travel, consulting or implementation services are not covered by these terms. They require a separate agreement.
2. Registration and company account
2.1 The registering person confirms that they are authorised to represent the Customer in accepting these terms. The contract of use between Intertours and the Customer is concluded when registration is completed.
2.2 The Customer manages the access and roles of its users itself. Persons with the Owner or Administration roles must secure their sign-in with a second factor. Access data, rollout keys and invitation codes must be kept confidential; if misuse is suspected, they must be revoked without delay.
2.3 Employees who only have the browser extension installed do not need an account.
3. Plans
3.1 Free. The basic version is free of charge on a permanent basis. Its scope (including the number of special rules and the evaluation period) is described in the application under Administration › Plan.
3.2 Enterprise (Beta). Intertours enables extended functions such as blocking, unlimited special rules, experiments and longer evaluation periods on request. During the beta phase, functions may change or be discontinued. The parties will agree on conditions after the end of the beta phase separately; without such an agreement, no payment obligations arise.
3.3 Additional services such as an IT setup session are only provided under a separate agreement.
4. Contact person as consideration
4.1 In return for free use, the Customer names a contact person with name and business email address. At registration, this is the registering person; the Customer can change the contact person in the application at any time and keeps the details up to date.
4.2 Intertours may contact the contact person by email or telephone about the Customer’s requests, about setup and operation, about changes to the service and about plans and additional services of TravelPilot. Advertising for other Intertours services is only sent with separate consent.
5. Customer obligations
5.1 The Customer decides which rules apply and on which devices the extension is installed. The Customer is responsible for informing its employees about the use and for ensuring any required involvement of employee representatives (e.g. under Section 87(1) no. 6 of the German Works Constitution Act, BetrVG). TravelPilot provides a decision document and an approval workflow for this purpose.
5.2 Texts, logos and links that the Customer stores in rules must not infringe the rights of third parties or contain unlawful content.
5.3 The service must not be misused, in particular not to circumvent technical protection measures, to monitor individual persons or to disrupt operations.
6. Data and evaluations
6.1 The extension only transmits daily counters per website and rule. Full addresses, search terms, travel destinations, names and user or device identifiers are not transmitted. Details can be found in the privacy notice.
6.2 Intertours evaluates aggregated key figures per Customer without reference to individuals, in particular the number of notices shown and the share of cases in which employees switch to the company portal (“switch rate”). The purpose is to operate the service, to support the Customer in achieving the intended effect and to improve TravelPilot.
6.3 Further product analyses (such as setup progress and the type and number of rules) only take place if the Customer enables them under Administration › Access & analysis. This approval can be revoked at any time.
6.4 Intertours only accesses the Customer’s administration for support purposes with a time-limited approval from the Customer. Every access is recorded in the Customer’s change log.
6.5 Rules, texts and other content of the Customer remain the Customer’s property. The Customer grants Intertours the rights required to provide the service.
6.6 Improvement measures that the Customer manages in TravelPilot (title, observation, suspected cause, planned change, status and target metric) and the monthly comparison of trips booked via Intertours with portal switches can be viewed by the administration of Intertours. The purpose is to support the Customer in implementing them and to align Intertours’ services accordingly. Access is limited to designated Intertours administrators who sign in with the Intertours company account and a second factor; other Intertours staff only with an approval under clause 6.4. Names of the Customer’s employees are not shown and small values are not reported. Every access is recorded in the Customer’s change log. The Customer does not enter personal data in these fields.
7. Availability and changes to the service
7.1 Intertours provides the free service without commitment to any particular availability. If the service cannot be reached, the extension behaves according to the failure rule selected by the Customer.
7.2 Intertours may further develop the service and change functions. Intertours will announce material restrictions to the contact person with reasonable notice.
8. Liability
8.1 For free use, Intertours is only liable for intent and gross negligence. For services against payment, the respective separate agreement applies.
8.2 Liability for damage resulting from injury to life, body or health, under the German Product Liability Act and in the case of fraudulently concealed defects remains unaffected.
8.3 TravelPilot supports compliance with the travel policy but does not guarantee it. Bookings made via other channels, devices or browsers are not covered.
9. Term and termination
9.1 The contract runs for an indefinite period. The Customer may terminate it at any time without notice by arranging for the deletion of its company account. Intertours may terminate the contract for free use with four weeks’ notice; the right to terminate for good cause remains unaffected.
9.2 After the end of the contract, Intertours revokes the Customer’s rollout keys; installed extensions delete the Customer’s data at their next retrieval. The Customer’s data is deleted in accordance with the deletion concept described in the privacy notice.
10. Changes to these terms
Intertours will notify the contact person of changes to these terms at least four weeks before they take effect. If the Customer does not object before they take effect, the changes are deemed accepted; Intertours will point out this consequence in the notification. In the event of an objection, either party may terminate the contract with effect from the date on which the change takes effect.
11. Final provisions
11.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
11.2 If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Frankfurt am Main.
11.3 Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected.
